The estimated base salary range for this role is $108,580 to $180,380 per year.  
Individual pay is based upon location, skills and expertise, experience and other relevant factors

As our Counsel, Commercial and Strategic Transactions, based at our headquarters in Lancaster, PA, you will have the ability to work in a hybrid-model or mostly remote capacity.  You will have responsibility for and primarily focus on commercial, business & strategic transactions and general corporate law, both within the United States and for our operations in the Americas. You will interact with fellow in-house legal personnel and all corporate business units and departments with minimal assistance from outside counsel. You will perform legal analysis and drafting and provide timely, effective and practical legal guidance in a fast-paced, dynamic in-house setting.

 

Essential Duties and Responsibilities include the following. Other duties may be assigned.

  • Identifies, analyzes, assesses and communicates legal risks to enable internal clients to make quality, risk-adjusted business decisions.
  • Drafts, reviews, analyzes, structures, negotiates and provides advice regarding a range of commercial, business and strategic agreements and transactions, including sales, marketing, distribution, agency, licensing, sourcing, procurement, supply, service, confidentiality, or strategic transactions (such as joint ventures, partnerships, divestitures or mergers, financings and acquisitions).
  • Provides professional, pragmatic and timely advice, counseling and support to internal clients.
  • Works collaboratively with in-house legal group and outside counsel.
  • Engages in routine interaction and privileged communications with business and technology leaders.
  • Assists in setting and upholding policies and procedures for legal subjects and risk mitigation.
  • Provides legal training to internal clients.
  • Supports internal Sustainability and Business Development efforts.
  • Manages outside counsel from time to time.

 

Supervisory Responsibilities:  None

 

Travel:  Occasional; less than 10%

 

Education and/or Experience

  • Juris Doctor
  • 5+ years demonstrated experience in subject matter area in a medium to large sized law firm or in-house legal department

 

Certificates, Licenses, Registrations

  • Licensed to practice law in at least one state in the United States
  • If not licensed in Pennsylvania, then willing and able to secure at least an in-house license in Pennsylvania
