The estimated base salary range for this role is $144,000 to $245,000 per year.  
Individual pay is based upon location, skills and expertise, experience and other relevant factors.

As our Director & Associate General Counsel, Corporate Governance and Transactions based at our world headquarters in Lancaster, PA, you will have the ability to work in a hybrid-model or mostly remote capacity. Your role as Director & Associate General Counsel will be focused on corporate governance, transactional, general corporate law, and mergers and acquisitions.


And under the direction of our Senior Vice President, General Counsel and Chief Compliance Office, you will also be accountable for managing a wide variety of corporate and securities matters including ’34 Act reporting, domestic subsidiary compliance, mergers and acquisitions, equity investments, equity plan compliance, and executive compensation disclosure.


What you'll be doing


  • Providing legal advice and counsel with respect to corporate governance and company secretarial matters, corporate governance programs and policies, board of director programs and policies, SEC filings and reports, periodic reports (10-K, 10-Q, 8-K, Proxy statements, registration statements, and Section 16 filings), and insider trading programs and policies
  • Preparing Board and Committee presentation content and minutes
  • Driving AWI’s environmental, social, and governance (ESG) and Sustainability initiatives
  • Identifying, analyzing, and assessing legal risks and assisting with risk management policies
  • Collaborating with Compensation to support executive compensation matters and administer equity plans
  • Reviewing, drafting, negotiating, and administering a wide range of commercial contracts on behalf Armstrong World Industries
  • Negotiating, documenting, and advising on all phases of commercial and business transactions
  • Providing professional advice, counseling, and oversight to internal clients on a reactive and initiative-taking basis.
  • Assisting with setting legal or risk mitigation policies and procedures
  • Providing legal training to internal clients and oversight of outside counsel


What will make you successful


  • Willingness to develop subject matter expertise in new areas
  • Robust analytical skills and a track record of thinking strategically
  • Familiarity with delivering practical and initiative-taking counseling, training, and support to business units and corporate functions
  • Knowledge of developing and maintaining risk management protocols
  • History of delivering a consistent standard of counseling
  • Comfortable with promoting and ensuring compliance with applicable laws and regulations
  • Comprehension of federal and state securities laws and regulations and NYSE listing exchange regulations


Required Qualifications


  • Juris Doctor (JD) and member of at least one US state bar (with eligibility to become a registered in-house counsel in Pennsylvania)
  • 8+ years of experience at a top law firm or in-house
  • Significant ’33 and ’34 Act disclosure and reporting experience.
  • Strong experience with mergers and acquisitions and corporate finance
  • Previous representation of public companies on governance issues and Board support
  • Excellent academic credentials and experience managing others
